Acceptance of terms

By accessing the website, requesting a demo, purchasing a subscription, or using Ordezo products or services, you agree to these Terms & Conditions and any order-specific commercial documents that apply to your engagement.

If you are acting on behalf of a company or organization, you confirm that you have authority to bind that organization to the applicable terms.

Legal entity and service documents

Ordezo is a brand operated by Triostack Technologies Private Limited. These website terms should be read together with any invoice, proposal, statement of work, implementation plan, subscription order, or master agreement issued for the relevant engagement.

Where a signed commercial agreement contains terms different from this page, the signed commercial agreement will govern for that specific customer relationship.

Account use and customer responsibilities

  • You are responsible for ensuring that information provided during signup, onboarding, billing, or implementation is accurate and complete.
  • You are responsible for maintaining the confidentiality of account credentials, user access controls, and devices used to access the service.
  • You must use the service in compliance with applicable law and must not use Ordezo to transmit unlawful, infringing, abusive, deceptive, harmful, or unauthorized content.

Fees, invoicing, and payment

  • Fees, billing frequency, taxes, renewal dates, and payment timelines are governed by the applicable invoice, quote, order form, subscription plan, or signed agreement.
  • Unless otherwise agreed in writing, all fees are payable in accordance with the invoice terms and are non-cancellable and non-refundable except as set out in the Cancellation & Refund Policy or required by law.
  • Late payment may lead to suspension of access, withholding of deliverables, or delayed service activation until dues are cleared.

Intellectual property

All rights, title, and interest in the Ordezo website, software, workflows, visual assets, product logic, documentation, branding, and related materials remain with Triostack Technologies Private Limited or its licensors, except for customer data and customer-owned materials.

No transfer of ownership is created merely by subscribing to or using the service. Customers receive only the limited rights expressly granted under the relevant subscription or services arrangement.

Third-party dependencies

Certain features may rely on external providers such as telephony, messaging, payment, hosting, analytics, or cloud vendors. Availability, approvals, pricing, and functionality linked to such external systems may change without notice based on the respective provider.

Triostack Technologies Private Limited is not liable for service issues caused solely by customer-controlled systems or third-party platforms outside its reasonable control.

Confidentiality and data handling

Each party should treat non-public business, technical, commercial, and operational information received from the other party as confidential and use it only for the intended business purpose.

Data handling obligations are also governed by the Privacy Policy and any customer-specific data processing or confidentiality terms agreed in writing.

Suspension and termination

  • We may suspend or restrict access where reasonably necessary for security, maintenance, non-payment, suspected misuse, unlawful activity, or material breach of applicable terms.
  • Either party may terminate a subscription or service engagement in accordance with the contractually agreed notice, billing, and exit terms.
  • Termination does not remove the obligation to pay already accrued charges or fees for work already completed.

Disclaimers and limitation of liability

Except as expressly stated in a signed agreement, the website and services are provided on an as-available and as-applicable basis. Commercial estimates, launch schedules, and roadmap indications are informational and may change.

To the maximum extent permitted by law, Triostack Technologies Private Limited will not be liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages arising from use of the website or services.

Governing law and disputes

These Terms & Conditions are governed by the laws of India. Any dispute, claim, or proceeding arising out of or in connection with Ordezo website use, subscriptions, implementation, billing, or services will be subject to the exclusive jurisdiction of the courts at Greater Noida, Uttar Pradesh.
